1. The Parties

This Non-Disclosure Agreement (the “Agreement”) is entered into on this 12th day of July, 2025, by and between:

Party A: [Your Company Name], with its principal place of business at [Your Address].

Party B: [Other Party’s Name], with its principal place of business at [Other Party’s Address].

(Hereinafter referred to collectively as the “Parties”).

2. Definition of Confidential Information

For the purpose of this Agreement, “Confidential Information” shall include all information or material that has or could have commercial value or other utility in the business in which the Parties are engaged. This includes, but is not limited to, business plans, client lists, financial information, marketing strategies, trade secrets, and any other proprietary information.

3. Obligations of Receiving Party

Both Parties agree to hold and maintain the Confidential Information in strict confidence for the sole and exclusive benefit of the other Party. Both Parties shall carefully restrict access to Confidential Information to employees, contractors, and third parties as is reasonably required and shall require those persons to sign non-disclosure restrictions at least as protective as those in this Agreement. Neither Party shall, without prior written approval of the other, use for their own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of the other Party, any Confidential Information.

4. Exclusions from Confidential Information

Confidential Information does not include information that the Receiving Party can demonstrate: (a) was in the public domain at the time it was disclosed or has entered the public domain through no fault of the Receiving Party; (b) was known to the Receiving Party, without restriction, at the time of disclosure, as demonstrated by files in existence at the time of disclosure; or (c) is disclosed with the prior written approval of the Disclosing Party.

5. Term

The non-disclosure provisions of this Agreement shall survive the termination of any relationship between the Parties and shall remain in effect for a period of two (2) years from the date hereof.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the **Federal Republic of Nigeria**.
